Graphic Design Terms

{All project proposals and quotes are good for 90 days}

This agreement dated *Unknown Date*, is made By and Between “Client”, AND Tasha Lee Design, referred to as “Designer.”

1. Design Services. The company hereby employs the Designer to perform the following services in accordance with the terms and conditions set forth in this agreement: The Designer will consult with the Client concerning matters relating to the Client‘s design preferences, the terms and conditions of paid services, and generally any matter arising out of the design process.

2. Terms of Agreement. This agreement will begin *Unknown Date* and will end with the payment of final sum to the Designer accompanied by transfer of final design materials to the Client. Cancellation of this agreement will result in forfeit of any design materials by Client and previous payments made.

3. Payment to Designer. The Designer will be paid $45 per hour for work performed in accordance with this agreement. Either party reserves the right to withdraw from the service contract with prior 14 days notification. If the cancellation is made by the Customer, all works including consultation provided by TLD will be billed at a flat rate of $45 per hour. If the cancellation is made by TLD, no additional fees will be billed.

4. Updates and Modifications. During or after project construction and/or modification, content and graphics updates to the project (if needed) are performed at a rate of $45.00 per hour, billed in 15-minute increments.

5. Post Project Support. After projection completion all updates (changes not in the original specifications of the project) to the project fall under the above section, Updates and Modifications. If a change needs to be made that was in the original specifications of the project then it will be completed free of charge.

6. Independent Contractor. Both the Client and the Designer agree that the Designer will act as an independent contractor in the performance of its duties under this contract. Accordingly, the Designer shall be responsible for payment of all taxes including Federal, State and local taxes arising out of the Designer’s activities in accordance with this contract, including by way of illustration but not limitation, Federal and State income tax, Social Security tax, Unemployment Insurance taxes, and any other taxes or business license fee as required. Any completed design from design process that Client determines to be the final design becomes Client’s property and Client assumes all liability from use of said design once final payment is made. The Designer maintains rights to use said design strictly for portfolio purposes thereafter.

7. Confidential Information. The Designer agrees that any information received by the Designer during any furtherance of the Designer’s obligations in accordance with this contract, which concerns the personal, financial or other affairs of the Client will be treated by the Designer in full confidence and will not be revealed to any other persons, firms or organizations
